Please read these Terms of Use carefully. These Terms of Use constitute a legally binding agreement between you and, if applicable, the entity on whose behalf you are using the website (“you” or “User”), and Procoverstock.com (“Procoverstock”, “we”, “us”).
These Terms of Use govern access to and use of the Procoverstock website available at https://procoverstock.com (the “Website”).
By accessing or using the Website, you agree to be bound by these Terms of Use. If you do not agree, you must not use the Website.
1. ROLE OF TERMS AND RELATED AGREEMENTS
1.1. These Terms of Use govern general access to and use of the Website.
1.2. Specific activities on the Website are governed by separate agreements, including:
• Procoverstock Royalty-Free License Agreement (for customers),
• Procoverstock Contributor Upload Agreement (for contributors),
• Procoverstock Graphic Design Service Agreement (for custom services),
• Procoverstock Affiliate Program Terms (for affiliates).
In the event of any conflict, the applicable specific agreement shall prevail.
2. OWNERSHIP OF WEBSITE CONTENT
2.1. The Website, its structure, software, user interface, trademarks, logos, text and platform-related content are owned by or licensed to Procoverstock and are protected by applicable intellectual property laws.
2.2. Graphic Designs and other content uploaded by contributors remain the property of their respective rights holders and are made available to users solely under the terms of the applicable license or agreement.
2.3. Except as expressly permitted under applicable agreements, no content on the Website may be copied, reproduced, distributed or used.
3. CONFIDENTIALITY
Any non-public information obtained through the Website in connection with your use as a contributor, customer or service client, including pricing, technical, operational or business information, shall be treated as confidential and shall not be disclosed without prior written consent, except as required by law.
4. PRIVACY
Use of the Website is subject to the Procoverstock Privacy Policy, which governs the collection and processing of personal data.
5. TRADEMARKS
5.1. Procoverstock trademarks, service marks and logos are owned by Procoverstock.
5.2. You may not use Procoverstock trademarks without prior written permission or imply any endorsement or relationship with Procoverstock.
5.3. Third-party trademarks remain the property of their respective owners.
6. COPYRIGHT AND IP INFRINGEMENT
6.1. Procoverstock respects intellectual property rights and prohibits infringing content.
6.2. Claims of copyright or intellectual property infringement must be submitted via Copyright Infringement section and include all information reasonably required to assess the claim.
6.3. Procoverstock may remove infringing content and suspend repeat infringers.
7. PROHIBITED USE
You agree not to:
• use automated tools to scrape or extract content;
• interfere with Website security or functionality;
• upload unlawful or infringing material;
• remove watermarks or copyright notices;
• access content without a valid license or authorization.
Procoverstock may suspend or terminate access for violations.
8. LINKS TO THIRD-PARTY SITES
The Website may contain links to third-party websites. Procoverstock is not responsible for their content or availability.
9. ACCOUNT INFORMATION
You are responsible for maintaining accurate account information and safeguarding login credentials.

12. GOVERNING LAW AND JURISDICTION
These Terms of Use shall be governed by and construed in accordance with the laws of Hong Kong.
The courts of Hong Kong shall have exclusive jurisdiction.
13. MODIFICATIONS
Procoverstock may modify these Terms of Use from time to time. Continued use of the Website constitutes acceptance of the updated terms.
14. ENTIRE AGREEMENT
These Terms of Use, together with the applicable specific agreements, constitute the entire agreement between you and Procoverstock regarding use of the Website.
