Any confidential information obtained by you as a user, a) as a supplier/contributor (i.e. when uploading a data file(s) according to the Procoverstock Contributor Upload Agreement) or b) as a purchaser/customer (i.e. purchasing a data file(s) in compliance with the Procoverstock Royalty Free License Agreement), regarding pricing, marketing, technical and other confidential information, is to be considered confidential. And you acknowledge that such confidential information encompasses valuable trade secrets and is proprietary to Procoverstock, and you agree to maintain the confidentiality.

3. Privacy Policy

Procoverstock is committed to protecting your privacy. Please see Procoverstock Privacy Policy for further information. Procoverstock Privacy Policy applies to use of this website.

4. Trademarks

4.1. The trademarks, service marks, designs, and logos (collectively, the “Trademarks”) displayed on the website are the registered and unregistered Trademarks of Procoverstock.

4.2. You agree that you will not refer to or attribute any information to Procoverstock in any public medium (e.g., press release, websites) for advertising or promotion purposes, or for the purpose of informing or influencing any third party, and that you will not use or reproduce any Trademark of, or imply any endorsement by or relationship with, Procoverstock or its licensors.

4.3. All other trademarks, registered trademarks, product names and company names or logos mentioned on the website, or visible on images, are the property the respective owners.

5. Copyright/Intellectual property rights

All content and functionality on the website, including but not limited to, text, logos, images, graphics, data, illustrations and icons and the selection and arrangement thereof, is the exclusive property of Procoverstock or the uploading suppliers, and is protected by international copyright laws, trademark and other intellectual property rights. All rights not expressly granted are reserved.

6. Copyright rights and/or other intellectual property rights

6.1. Procoverstock prohibits publishing of any information that infringes or violates the copyright rights and/or other intellectual property rights (including rights of privacy and publicity) of any person or entity. If you believe that your intellectual property right is infringed by any content on the website, please email to Procoverstock service[at]procoverstock.com, giving a written statement that contains:

a) Identification of the copyrighted work and/or intellectual property right claimed to have been infringed;
b) Identification of the allegedly infringing material on the website that is requested to be removed;
c) Your name, address, and daytime telephone number, and an e-mail address if available;
d) A statement that you have a good faith belief that the use of the copyrighted work and/or exercise of the intellectual property right are not authorized by the owner, its agent, or the law;
e) A statement that the information in the notification is accurate, and, under penalty of perjury, that the signatory is authorized to act on behalf of the owner of the right that is allegedly infringed;

Procoverstock will remove any posted submission that infringes the copyright or other intellectual property right of any person under copyright international law upon receipt of such a statement. Under appropriate circumstances, persons who repeatedly submit infringing or unlawful material will be prohibited from posting further submissions.

7. Copyright right infringement policy

Procoverstock will terminate, in appropriate circumstances and at Procoverstock’s sole discretion, account holders who infringe the intellectual copyrights of Procoverstock or any third party.

8. Illegal use of website/Limitations

8.1. Unless authorized by Procoverstock you agree that you shall not:

8.1.1. Employ software or any other automatic device, algorithm or technology to “crawl”, “spider”, “scrape”, probing for files, search or monitor the website or image gathering and extraction methods and/or retrieve, copy, republish, frame, link to, download, transmit, modify, create derivative works based on, rent, lease, loan, sell, distribute, display, perform, license, sublicense or reverse engineer the website or any of its content.
8.1.2. Hacking or violating restrictions on the website, or bypass other measures employed to prevent or limit access to the website or content.
8.1.3. Test, probe or scan the vulnerability of the website.
8.1.4. Use any device; employ software or routine to interfere with the proper functioning of the website.
8.1.5. Do any activity that influences the ability of other people or systems to use the website. This includes DoS or DDos attack against the website.
8.1.6. Download and distribute website content unless you enter into a Procoverstock Royalty Free License Agreement.
8.1.7. Remove any watermarks or copyright notices contained in the Procoverstock content.

8.2. Procoverstock may block, restrict, disable, suspend or terminate your access to all or part of the website at any time in Procoverstock discretion, without prior notice or liability to you. Any conduct by you that, in Procoverstock’s sole discretion, restricts or inhibits any other person or entity from using or enjoying the website is strictly prohibited and may result in the termination of your access to the website without further notice.

Procoverstock website may link to other sites of interest. However, Procoverstock accepts no responsibility for the quality, content or availability of third-party website accessible from procoverstock.com.

10. Registration Data

When using the website, you agree to:

a) Provide accurate information about you when creating a user account.
b) Maintain and update information on your user account so it is correct and update.
c) Maintain the security of your password and identification.

11. Miscellaneous

11.1. Procoverstock is registered in Belize. And this agreement will be governed by laws of Belize. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

11.2. Any dispute regarding your use of the website or the Procoverstock content, shall be governed, which each of the parties hereby do expressly submit and accept, by the jurisdiction of Belize, except that, to the extent you have in any manner violated or threatened to violate Procoverstock intellectual property rights, Procoverstock may seek injunctive or any other appropriate relief in any court at Procoverstock’s sole discretion.
